1. Acceptance of Terms

By accessing or using BG HR AI's services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

BOUGLAD HUMAN RESOURCES AI LLC ("Company", "we", "our", or "us") is a Delaware Limited Liability Company operating internationally and providing AI-powered human resources solutions.

2. Description of Service

BG HR AI provides:

  • AI-powered job description generation
  • HR document automation and template filling
  • Job evaluation and assessment tools
  • Team collaboration and project management
  • Document processing and analysis
  • Subscription-based access to premium features

3. User Accounts and Registration

3.1 Account Creation

  • You must provide accurate, current, and complete information
  • You are responsible for maintaining the security of your account
  • You must be at least 18 years old or the age of majority in your jurisdiction

3.2 Account Types

  • Team Admin accounts for consulting firms and organizations
  • Team Member accounts
  • Admin accounts (platform administration)

3.3 Prohibited Uses

You may not:

  • Use the service for any illegal purposes
  • Attempt to gain unauthorized access to our systems
  • Upload malicious content or viruses
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights

4. Plans and Billing

4.1 Custom Plans

  • BG HR AI does not publish public pricing. Each organization's plan — including which services are enabled, usage limits, and price — is set up individually after contacting our sales team.
  • Plan details are confirmed with you directly before any payment is collected.

4.2 Billing and Payment

  • Subscriptions are billed in advance
  • Payments are processed via Stripe
  • All fees are non-refundable except as required by law
  • Price changes will be communicated 30 days in advance

4.3 Service Usage Limits

  • Each plan specifies which services are enabled and, where applicable, a usage limit per billing period.
  • Usage is tracked in real-time; a service that is disabled or has reached its usage limit for your organization will not be available until your plan is updated.

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by BOUGLAD HUMAN RESOURCES AI LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 User Content

  • You retain ownership of content you upload ("User Content")
  • You grant us a worldwide, non-exclusive license to use, reproduce, and process your User Content solely to provide the Service
  • You represent that you have the right to upload and use your User Content

5.3 Generated Content

  • AI-generated content is provided for your use
  • You are responsible for reviewing and validating AI-generated content
  • We do not guarantee the accuracy of AI-generated content

6. Privacy and Data Protection

6.1 Data Collection and Use

Our collection and use of personal information is governed by our Privacy Policy, incorporated by reference into these Terms.

6.2 International Data Transfers

We may process and store data in the United States and other countries. By using our Service, you consent to such transfers in accordance with applicable data protection laws.

6.3 Data Processing Agreement and Your Role as Controller

If you use the Service to submit, upload, or generate personal data about individuals other than yourself — most commonly job candidates' résumés, interview content, or assessment results, or your organization's employee data for organigram/workforce planning ("Third-Party Personal Data") — you are the data controller of that Third-Party Personal Data, and we process it solely as your processor, on your instructions, under the Data Processing Agreement (incorporated by reference into these Terms). You represent and warrant that:

  • you have a valid legal basis under all applicable data protection laws (including GDPR, UK GDPR, and applicable US state laws) to collect and to instruct us to process the Third-Party Personal Data you submit, including, where required, providing appropriate privacy notices to and/or obtaining consent from the individuals concerned;
  • you will not submit special-category/sensitive personal data (health information, religious or philosophical beliefs, trade union membership, biometric or genetic data, etc.) unless you have independently confirmed it is lawful and necessary for you to do so; and
  • you are solely responsible for how you use the Service's outputs in relation to Third-Party Personal Data, including any hiring, promotion, screening, or other employment-related decision.

You agree to indemnify us for any claim arising from your breach of this Section 6.3, consistent with Section 9 (Indemnification).

6.4 AI-Assisted Decisions Require Human Review

Scores, rankings, and recommendations generated by the Service's AI features are decision-support tools, not final decisions. We do not make, and the Service does not automatically execute, any hiring, promotion, termination, or other decision producing legal or similarly significant effects on a candidate or employee. You are responsible for ensuring a qualified human reviews and makes the final call on any such decision, and for complying with any additional legal requirements applicable to automated or AI-assisted decision-making in employment contexts in your jurisdiction (for example, obligations under the EU AI Act for "high-risk" AI systems used in recruitment, Article 22 GDPR, or U.S. state/local automated-employment-decision-tool laws).

7. Service Availability and Modifications

7.1 Service Availability

  • We strive for 99.9% uptime but do not guarantee uninterrupted service
  • Scheduled maintenance will be announced in advance when possible

7.2 Service Modifications

We reserve the right to modify, suspend, or discontinue the Service with reasonable notice.

8. Limitation of Liability

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Damages

IN NO EVENT SHALL BOUGLAD HUMAN RESOURCES AI LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

8.3 Maximum Liability

Our total liability to you for all claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless BOUGLAD HUMAN RESOURCES AI LLC from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Termination

10.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us.

10.2 Termination by Us

We may terminate or suspend your account for violations of these Terms or for any other reason with reasonable notice.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your account and data in accordance with our data retention policy.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

11.2 Dispute Resolution

  • We encourage resolving disputes through good faith discussions
  • Any legal action must be brought in the federal or state courts located in Delaware
  • You waive any right to trial by jury

11.3 Class Action Waiver

You agree that any disputes will be resolved on an individual basis and waive your right to participate in class action lawsuits.

12. International Considerations

12.1 Global Service

Our Service is available internationally, but we make no representation that it complies with all local laws in every jurisdiction.

12.2 Export Compliance

You agree to comply with all applicable export and import laws and regulations.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BOUGLAD HUMAN RESOURCES AI LLC.

13.2 Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.

13.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
